These Terms & Conditions (“Terms”) govern the provision of digital services by NB Monument Design Studio Ltd. (“Studio”, “we”, “us”). By requesting a quote, submitting materials, issuing a purchase order, or making payment, you (“Client”, “you”) agree to these Terms.
1. Business-to-Business Focus
Our primary services are provided to memorial companies and professional clients. Where a Client acts in the course of business, the Client acknowledges that these Terms are intended to reflect commercial (B2B) standards, including limitations of liability.
2. Definitions
Deliverables: the final digital files we supply.
Client Materials: photos/files/text you provide.
Order: a confirmed request for services (email approval, invoice payment, or purchase order).
3. Scope of Services
We provide digital-only services such as:
restoration and reconstruction of photographs,
professional retouching and tonal control,
compositing multiple individuals into one image,
colourisation where requested,
memorial scene and composition preparation,
engraving-ready image preparation (where specified).
We do not provide physical engraving, printing, manufacturing, installation, cemetery services, or stone fabrication.
4. Orders, Commencement, and Workflow
Work commences after payment is received, unless otherwise agreed in writing. The Client must provide clear instructions, reference materials, and required text (names/dates) prior to production.
5. Proofing and Client Approval
Where previews/proofs are provided, the Client is responsible for reviewing and approving:
spelling of names and dates,
layout, composition, and positioning,
overall readiness for the Client’s production method.
Approval constitutes acceptance for production purposes.
6. Revisions
Each Order includes up to five (5) revision rounds within the original scope. Revisions that materially change the scope (e.g., adding/removing subjects, new source materials, new scene direction) may require a new quote and additional fees.
7. Fees, Payment Methods, and Charges
Accepted methods include PayPal, Stripe, bank transfer, Wise, and equivalent services. Any processing/banking fees charged by payment providers are borne by the payer unless otherwise agreed.
8. Refunds and Cancellations (Custom Digital Services)
All services are custom and digital. Once production has commenced, fees are non-refundable, except where required by applicable law. If cancellation occurs before production begins, refunds may be issued minus non-recoverable transaction fees.
9. Confidentiality and Client Data
Client Materials, workflows, pricing arrangements, and communications are treated as confidential. The Studio will not publish Client work publicly without express written permission.
10. Intellectual Property and Licence
Until full payment is received, all Deliverables remain the property of the Studio. Upon full payment, the Client receives a non-exclusive, non-transferable licence to use Deliverables solely for memorial and engraving purposes and internal business operations related to that purpose. Resale, redistribution, sublicensing, or standalone commercial exploitation is prohibited without written consent.
11. Production Disclaimer (Engraving/Manufacturing Outcomes)
The Studio delivers digital files prepared for intended production use. Final physical outcomes depend on third-party factors, including stone type, machine settings, operator technique, printing/engraving systems, and production workflows. The Studio is not responsible for manufacturing results beyond the specification of the delivered digital files.
12. Limitation of Liability
To the maximum extent permitted by law:
The Studio is not liable for indirect or consequential losses (including loss of profit, loss of business, production delays, reputational loss).
The Studio’s total aggregate liability for any claim arising from an Order shall not exceed the amount paid for that Order.
13. Client Warranties
The Client warrants that:
it has the legal right to provide Client Materials and request the services;
Client Materials do not infringe third-party rights;
any text content (names/dates/inscriptions) provided is accurate.
14. Acceptable Use and Refusal of Service
We reserve the right to refuse service where requests are unlawful, infringe rights, involve fraud/impersonation, or fall outside professional memorial work.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, unless otherwise agreed in a signed written agreement.
16. Priority of Written Agreements (B2B)
For long-term B2B relationships, a signed written agreement (e.g., Master Services Agreement / Statement of Work) may override these Terms where expressly stated.
